End User License Agreement
Last updated: Draft
This End User License Agreement (the "Agreement") is a legal agreement between you and Troth ("Troth", "we", "us"), the provider of the Troth desktop application (the "App"). By downloading, installing, or using the App, you agree to it. If you do not agree, do not install or use the App.
The open-source Troth core, protocol, and SDK are licensed separately under the AGPL and are not covered by this Agreement (see the open-source section below).
1. License grant
We grant you a personal, worldwide, non-exclusive, non-transferable, perpetual license to install and use the version of the App you purchased, together with any updates we release during your update window, for your own use on devices you control, up to the number of devices stated at purchase.
The App is licensed, not sold. You do not acquire ownership of the App or of any intellectual property in it. You keep the licensed version for as long as you like, subject to this Agreement.
2. Updates and versions
Your purchase includes twelve (12) months of updates from the date of purchase. After that period, the version you last received keeps working indefinitely, and you may purchase a further period of updates to receive newer versions.
We are not obligated to provide updates, new features, or support beyond your update window.
3. What you may not do
Sell, rent, sublicense, share, or publish your license key or the App to any third party. Your license may be revoked if you do.
Reverse engineer, decompile, or disassemble the closed-source components of the App, except to the extent this restriction is prohibited by applicable law.
Remove or alter any proprietary or license notices.
Copy the App's closed components to build a competing product.
Use the App for any unlawful purpose or to infringe the rights of others.
4. Your AI services, keys, and credentials
The App has no artificial intelligence of its own. It operates using the third-party AI services, subscriptions, API keys, accounts, browsers, and hardware that you provide and control ("Your Services").
You are solely responsible for obtaining and paying for Your Services, for complying with their terms (for example the terms of Anthropic, OpenAI, Google, or any provider you connect), and for any charges, limits, or consequences arising from them. We are not a party to Your Services and are not responsible for their availability, pricing, or output.
5. Actions taken on your instruction
The App is an agent that can take actions at your direction. This may include controlling a web browser using your logged-in sessions, running commands on your computer, reading and writing files, and calling APIs using your credentials.
Every such action is initiated at your request and under your control and supervision. You are solely responsible for the instructions you give, for the permissions and capabilities you enable, and for reviewing the results of any action before relying on them. You should not authorize actions you are not willing to be responsible for.
6. No warranty
The App and any output produced with it, including text, code, images, or actions generated by the AI you connect, are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or error-free operation.
We do not warrant that the App or any AI output will be correct, complete, safe, or suitable for any purpose. Nothing here limits any warranty or right that cannot be excluded under applicable mandatory consumer law.
7. Limitation of liability
To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to the App or Your Services, even if advised of the possibility.
To the maximum extent permitted by applicable law, our total aggregate liability under this Agreement will not exceed the amount you paid for the App in the twelve (12) months before the event giving rise to the liability.
This does not exclude liability for death or personal injury caused by our negligence, for fraud, or for anything that cannot be excluded under applicable mandatory law.
8. Open-source components
The Troth core, protocol, and SDK are open source and licensed to you separately under the GNU Affero General Public License (AGPL). That license, not this Agreement, governs your use of those components, and your rights under it are not affected by this Agreement.
The App also includes third-party open-source components listed in the App's notices, licensed under their respective terms. This Agreement governs only the proprietary parts of the App.
9. Your data and privacy
The App runs on your computer and stores what it learns locally. It does not send your content or usage to us.
The only personal data we process is what you provide when you buy a license (for example your email and payment details, handled by our payment processor) and standard server logs, including when the App checks for updates. See our Privacy Policy for details.
10. Activation, validation, and refunds
Your license is tied to your account. It may require online activation and periodic validation to confirm it is genuine, to register your device against your device limit, and to check it has not been refunded or revoked. If your purchase is refunded or reversed, your license may be revoked and the App may cease to function.
Refunds are governed by our Refund Policy. If you are an EU or EEA consumer, you may have a statutory right of withdrawal, which you may be asked to waive so that you can download and use the App immediately. See the Refund Policy.
11. Term and termination
This Agreement applies for as long as you use the App. It terminates automatically if you breach it, including by redistributing or reselling license keys. On termination you must stop using the App and delete all copies.
Provisions that by their nature should survive termination, including disclaimers, liability limits, and governing law, survive.
12. Changes to this Agreement
We may update this Agreement for future versions of the App. Changes apply to versions released after the change. The terms you accepted for your installed version continue to govern that version.
13. Governing law and disputes
This Agreement is governed by the laws of Greece, without regard to conflict-of-laws rules, and subject to any mandatory consumer-protection laws of your country of residence.
